LIMITED WARRANTY
Unified Information Devices (UID) warrants (the “Limited Warranty”) that its Product is free from defects in workmanship and material under normal use and service for a period of 12 months from the date of purchase (the “Warranty Period”). UID’s sole liability under the Limited Warranty shall be to repair or replace any Product which fails during the Warranty Period and which UID finds to contain defective material or workmanship. This Limited Warranty shall not apply to defects or damage caused by or in connection with transportation, storage, installation, maintenance, excess noise, internal or external hostile environment, operation outside the limits of rated capacity, or improper use or application. Any modifications to the Product or corrective maintenance performed by anyone other than UID during the warranty period shall void the Limited Warranty. Any statement, description or specification in UID’s literature is for the sole purpose of identification of products sold by UID and imparts no guarantee, warranty or undertaking by UID of any kind. Components and accessories not manufactured by UID are not included in this Limited Warranty and may be warranted separately by their respective manufacturers. This Limited Warranty shall not accrue to the benefit of any person or entity other than the Customer
THE WARRANTIES SET FORTH HEREIN ARE IN LIEU OF AND TO THE EXCLUSION OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING FROM TRADE USAGE, COURSE OF DEALING OR COURSE OF PERFORMANCE. UID AND ITS AFFILIATED COMPANIES SHALL NOT BE LIABLE TO ANY CUSTOMER UNDER ANY THEORY, INCLUDING CONTRACT, WARRANTY OR TORT, FOR (A) ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, (B) DAMAGE TO OR LOSS OF OTHER PROPERTY OR EQUIPMENT, (C) LOSS OF PROFITS, BUSINESS, REVENUE OR GOODWILL, (D) LOSS OF USE OF THE PRODUCT, FACILITY, DATA OR RESEARCH STUDIES, (E) EXPENSES ARISING FROM COST OF CAPITAL, PURCHASED OR REPLACEMENT POWER OR TEMPORARY EQUIPMENT (INCLUDING ADDITIONAL EXPENSES INCURRED IN USING EXISTING FACILITIES), AND (F) CLAIMS OF CUSTOMERS, EMPLOYEES OR ANY OTHER THIRD PERSONS INCLUDING CLAIMS FOR ANY INJURY, DEATH OR PROPERTY DAMAGE.
UID SHALL NOT BE LIABLE FOR DAMAGES OR COSTS OF ANY KIND FROM ANY CAUSE OR UNDER ANY THEORY BEYOND THE PRICE OF THE UID PRODUCT. THIS SHALL BE UID’s MAXIMUM LIABILITY FOR THE PRODUCT INCLUDING ALL DAMAGES RELATED TO UID’S MANUFACTURE, SALE, DELIVERY, INSTALLATION, OR REPAIR OF THE PRODUCT, OR TECHNICAL DIRECTION.
As a condition for warranty coverage, Customer agrees to contact UID within said Warranty Period prior to shipping Products to UID or prior to taking any other remedial action with regard to the Products.
